Liquidia Corporation has reached a $380.7 million settlement with United Therapeutics. This agreement ends a multi-year patent dispute and secures the commercial future of its pulmonary arterial hypertension treatment, YUTREPIA. The agreement removes a legal overhang that previously constrained the company's market outlook, and shares traded at $34.13 on October 19, 2026.
"This settlement fully resolves years of litigation and provides certainty to PAH patients that they can continue to access YUTREPIA," said Roger Jeffs, Chief Executive Officer of Liquidia, in a statement regarding the resolution.
Settlement Structure and Payment Schedule
Under the terms filed with the SEC, Liquidia will satisfy the $380.7 million obligation through a multi-stage payment schedule. The company must pay a net $175 million within 30 business days. The remaining balance will be settled through subsequent payments:
- $60.3 million due in October 2026 to address antitrust-related interests.
- $72.7 million due by January 31, 2027.
- $72.7 million due by April 30, 2027.
To facilitate these payments, Liquidia reported cash and cash equivalents of $396.1 million as of September 30, 2026. This liquidity position is supported by preliminary, unaudited third-quarter 2026 net product sales for YUTREPIA totaling $222.7 million.
Label Changes and Market Impact
As part of the settlement, Liquidia has agreed to modify the regulatory profile of YUTREPIA. The company will remove the pulmonary hypertension associated with interstitial lung disease indication from the drug's label and will cease all promotional activities related to that specific use.
This concession narrows the commercial scope for YUTREPIA, which is a dry powder inhaler formulation of treprostinil designed for patients with PAH. By narrowing the indication, Liquidia avoids further litigation risks that could have jeopardized the drug's availability for its primary PAH patient base.
What Is at Stake for Liquidia
The resolution of this dispute shifts Liquidia from a defensive legal posture to a focus on commercial execution. For investors, the removal of the patent litigation uncertainty addresses the primary risk factor that has historically pressured the stock. With the legal path cleared, the company can direct its resources toward scaling the distribution of YUTREPIA within the PAH market, provided it maintains the necessary capital reserves to meet the upcoming installment deadlines in 2027.
