Brutus Mining has closed a non-brokered private placement totaling C$3 million to finance exploration at its CW Property in British Columbia and bolster general working capital. The capital raise, which generated aggregate gross proceeds of C$2,998,725.05, provides the company with the liquidity to advance its mineral claims in the region.

Breakdown of the Private Placement

The financing was structured through two classes of equity to attract different investor profiles:

  • Standard Units: The company issued 5,710,643 units at a price of C$0.35 per unit.
  • Flow-Through Units: Brutus Mining issued 2,500,000 flow-through units at a price of C$0.40 per unit.

Flow-through shares are a financing mechanism in Canada that allows issuers to renounce tax deductions associated with exploration expenses to the investors. By purchasing these units, investors can apply these expenses against their own taxable income, lowering the after-tax cost of their investment.

Use of Funds and Exploration Strategy

Proceeds from the flow-through portion of the offering are legally earmarked for eligible Canadian exploration expenses under the Income Tax Act. The company is required to renounce these expenses to the investors, with a deadline set for December 31, 2026.

The capital is targeted at the CW Property, an exploration site where Brutus Mining holds an option to acquire a 100% interest. The project comprises five mineral claims spanning 2,894.56 hectares. This funding allows the company to move forward with site development and geological assessment on these claims, which are located in a region with resource potential.

What Is at Stake for Brutus Mining

For junior mining companies like Brutus, private placements serve as the vehicle for sustaining operations during the pre-revenue phase of exploration. By utilizing flow-through shares, the firm can secure capital at a premium compared to standard equity, provided the company remains compliant with the spending requirements mandated by the Canada Revenue Agency. The successful closing of this round ensures that Brutus Mining has the financial runway to maintain its property options and conduct planned exploration activities throughout the upcoming season.
