Agility Robotics is moving toward a public listing through a merger with Churchill Capital Corp XI. Shareholders will vote on the deal on November 2, 2026, and the companies expect to close the transaction later that month. The SEC has declared the joint registration statement for the business combination effective. This action allows the firm to trade on the Nasdaq under the ticker 'AGLT'.

"Churchill Capital is proud to partner with companies that are shaping the future of technology and commerce. Agility is a humanoid first mover with proven technology, real-world deployments, and the trust of some of the world’s most demanding enterprises," said Michael Klein, Chairman and CEO of Churchill Capital Corp XI, in a statement.

Transaction Details and Capital Structure

The merger is expected to provide more than $620 million in gross proceeds to the combined entity. This total includes roughly $424 million held in Churchill XI’s trust account and $200 million raised through a common stock Private Investment in Public Equity (PIPE) transaction led by Foxconn.

This capital injection will support the production and deployment of the company's humanoid robotics platform, Digit. Agility Robotics has secured over $300 million in multi-year orders for its Digit v5 robot. The company plans to make this model available to early access customers in early 2027.

Strategic Vision for Humanoid Robotics

As the company prepares to enter the public markets, leadership is focusing on the role of humanoid robots in addressing industrial labor constraints.

"Humanoid robots are a critical driver of American technology leadership and the future of global industry. With category-defining commercially deployed humanoid robots operating in real customer environments today, Agility is at the forefront of a new era where safety-first, AI-powered technology can reliably work alongside people," said Peggy Johnson, CEO of Agility Robotics.

For the company, the transition from private to public capital is intended to scale the physical AI infrastructure required to move robots from specialized testing environments into general-purpose workplace roles.

"We set out to build robots capable of performing useful physical work in environments designed for people, and that mission has been central to Agility from day one. We believe cooperative safety is the critical unlock for scaled humanoid adoption," said Jonathan Hurst, Co-Founder and Chief Robot Officer of Agility Robotics.
