Zotefoams acquired US-based technical roll foam manufacturer Verttec for up to $7.3 million, expanding its North American production capabilities and product range for converters, according to an Investing.com report.
The transaction includes an initial cash-free, debt-free payment of $5.1 million, alongside up to $2.2 million payable over the next 24 months contingent upon revenue performance and specific criteria.
"Verttec adds a valuable capability Zotefoams did not previously have: crosslinked technical roll foam manufactured in the United States, supported by two production lines with significant capacity for growth," said Ronan Cox, Group CEO of Zotefoams, in a statement reported by Directors Talk Interviews.
Financial Performance and Organic Replication Costs
Based in East Greenville, Pennsylvania, Verttec reported unaudited revenue of $5.1 million and an adjusted EBITDA of $0.3 million for the financial year ended December 31, 2025. According to company disclosures, Verttec's revenue has grown at a compound annual growth rate of approximately 9% since 2023.
Zotefoams management evaluated the alternative of building similar infrastructure from scratch. The company estimated that replicating Verttec's crosslinked roll foam manufacturing capabilities organically would require approximately $20 million in capital and take five years to complete, making the $7.3 million acquisition a faster path to regional expansion.
Operational Continuity and Leadership
Verttec will continue manufacturing operations from its existing Pennsylvania facility. Ryan Dempsey will remain at the helm as president under a new employment agreement.
"Joining Zotefoams opens an exciting new chapter for Verttec. Together, we have the technology, expertise and reach to win new customers, develop new applications and grow our presence across North America," said Ryan Dempsey, President of Verttec.
Strategic Expansion for Converters
The acquisition integrates Verttec's two specialized production lines into Zotefoams' broader industrial portfolio. By securing localized US manufacturing for crosslinked technical roll foam, Zotefoams aims to reduce supply chain friction for North American converters while utilizing the acquired site's existing capacity for future volume growth.
