Sabre Corporation has priced an upsized $1.35 billion offering of 9.875% senior secured notes due in 2032. This transaction is designed to refinance existing high-interest debt and extend the company's maturity profile. The offering was increased from an initial target of $1.1 billion and is expected to close on September 28, 2026.
Strategic Debt Refinancing
The proceeds from this issuance are earmarked to fund tender offers for Sabre’s existing debt. The company is specifically targeting notes with higher coupons of 10.750% and 11.125% that are currently set to mature between 2029 and 2030. By replacing these obligations with new 2032 notes, the company intends to reduce its near-term interest burden and push out repayment deadlines.
According to company filings, the tender offer for Sabre GLBL notes includes an aggregate purchase cap of $250 million. The new notes will pay interest to investors on a semi-annual basis.
Market Context and Financial Position
This liability management exercise occurs as the travel technology firm works to stabilize its balance sheet. As of September 18, 2026, Sabre Corporation (SABR) stock was trading at $2.26.
For investors and creditors, the transaction represents a shift in the company’s capital structure. By upsizing the offering, Sabre secured a larger amount of capital than originally planned, even at a 9.875% coupon rate. The success of this offering allows the firm to retire more expensive debt earlier than scheduled, which provides additional flexibility in its cash flow projections for the coming years.
