Literacy Capital to Join London Main Market on September 11

Literacy Capital will transition to the London Stock Exchange's main market on September 11, 2026, resulting in board changes and new regulatory compliance obligations.

Literacy Capital plc is moving its listing from the London Stock Exchange's Specialist Fund Segment to the main market's Closed-Ended Investment Funds category on September 11, 2026. The company, trading under the ticker BOOK, intends to increase its marketability and broaden access for institutional investors.

The move to the main market requires adherence to UK Listing Rules, including transparency requirements for financial reporting, the issuance of shareholder circulars, and the regulation of related party transactions. These frameworks align the company with the standards expected of larger, publicly traded investment vehicles.

"We are working hard to promote BOOK" and close the "frustrating discount to NAV," said fund manager Richard Pindar in a statement regarding the strategic transition.

Board Leadership Changes

To satisfy UK Listing Rule 11.2.12R(1), which mandates that the chair of a listed company be independent upon admission to the main market, the company is restructuring its board. Paul Pindar will step down as Chair of the Board to facilitate this compliance. Dawn Marriott will succeed him as the new independent non-executive Chair.

Strategic Rationale for the Move

The transition follows Literacy Capital's efforts to address the valuation gap between its share price and its net asset value. By moving to the main market, the company seeks to improve its profile among investors who were restricted from participating in the SFS, a segment historically targeted at specialized institutional capital.

The SFS is used by investment funds as a starting point for public trading due to its lighter regulatory burden. Graduating to the main market indicates a company's readiness for increased public scrutiny and a desire for greater liquidity in its shares.
