Copart to Acquire ACV Auctions for $1.9B in All-Cash Deal
Copart has agreed to acquire digital wholesale vehicle marketplace ACV Auctions for $10.50 per share in a $1.9 billion all-cash deal.

ACV Auctions shares surged 44% on Friday after Copart agreed to acquire the digital wholesale vehicle marketplace for approximately $1.9 billion in cash, paying $10.50 per share. The transaction provides a significant premium to public shareholders while signaling consolidation within the digital automotive remarketing sector.
"This acquisition reflects a significant milestone in our growth strategy by creating an industry-leading end-to-end vehicle remarketing platform that is fully digital," said Jay Adair, Chief Executive Officer, Copart, in a statement.
Premium Valuation and Deal Structure
The $10.50 per share cash offer represents a 45% premium over ACV Auctions' unaffected closing price prior to media reports regarding a potential transaction. The acquisition is structured as a tender offer followed by a second-step merger, a standard mechanism in corporate takeovers designed to expedite the transfer of ownership once a majority of shares are tendered.
Copart anticipates that the transaction will have a neutral impact on its earnings per share during the first full year following the close. Management expects the purchase to become accretive to earnings beginning in fiscal 2028, according to financial disclosures released alongside the announcement. The companies project that the acquisition will formally close by the end of 2026.
What Is at Stake for Shareholders and Market Position
For Copart, the purchase absorbs a competitor in digital wholesale vehicle auctions, merging traditional salvage and remarketing capabilities with ACV's dealer-to-dealer online platform. However, the transaction has already attracted regulatory and legal scrutiny.
Law firm Halper Sadeh LLC announced it is investigating whether the board of directors at ACV Auctions secured fair value for shareholders, probing potential conflicts of interest and whether the $10.50 per share price undervalues the company's long-term growth prospects.
