Circle8 Proposes Cash Acquisition of SThree in $3B Merger Bid
Circle8 Group submitted an all-cash acquisition proposal for SThree plc, aiming to create a combined staffing entity approaching $3 billion in revenue.

Circle8 Group has submitted an all-cash proposal to acquire the entire issued share capital of SThree plc, a move that would combine two major staffing firms and create an enterprise approaching $3.0 billion in gross revenues. The preliminary offer places SThree under formal takeover scrutiny as market regulators monitor the potential consolidation within the global technology recruitment sector.
"Our mission is clear: to build one of the world’s leading global IT and technology platforms," said Guus Franke, Chairman and Chief Executive Officer of Circle8 Group, in a statement regarding the proposal. "This transaction is structured so that existing Circle8 shareholders would not be diluted."
Financial Scale of the Combined Entities
The proposed transaction brings together two sizable recruitment operations with established international footprints. According to financial disclosures in an Investing.com report, SThree generated approximately £1.3 billion in gross revenue during its financial year that ended on November 30, 2025.
Meanwhile, Circle8 reported generating more than $1.2 billion in gross revenue over the course of 2025. The company currently employs over 16,000 professionals globally, specializing in contingent and permanent technology staffing.
Regulatory Timelines Under UK Takeover Rules
Because SThree is a London-listed enterprise, the transaction is governed by the strict disclosure and timeline requirements of the UK City Code on Takeovers and Mergers. Under these rules, Circle8 must announce a firm intention to make an offer or formally declare that it will not proceed with a bid by 5:00 p.m. on October 7, 2026.
This deadline can only be extended if Circle8 requests an extension and receives formal consent from the UK Takeover Panel. Until that date, discussions remain subject to regulatory oversight and standard corporate disclosures.
What Is at Stake for Technology Staffing
The potential merger highlights ongoing consolidation trends within specialized professional recruitment, particularly across IT and engineering sectors. By uniting SThree's STEM-focused talent placement network with Circle8's existing platform, the combined entity would possess expanded scale to compete for enterprise staffing contracts across Europe and international markets.
