Artemis Gold to Acquire Vista Gold in US$427M All-Share Deal

Artemis Gold agreed to acquire Vista Gold in a US$427 million all-share deal, adding the Mt Todd project to target one million ounces of annual gold production.

Artemis Gold entered into a definitive agreement to acquire Vista Gold in a US$427 million all-share transaction on September 20, 2026, expanding its asset portfolio with the advanced-stage Mt Todd gold project in Australia's Northern Territory, according to an Investing.com report.

"Delivery of Blackwater Phase 1A and EP2 expansions continue to be our priority focus. This transaction presents an attractive opportunity to add a high-quality development asset that, when combined with our ongoing and future growth opportunities for Blackwater, provides a pathway to achieving one million ounces of gold production per year," said Dale Andres, CEO, Artemis Gold, in a statement.

Under the terms of the agreement, Vista Gold shareholders will receive 0.0966 common shares of Artemis Gold for each Vista Gold common share held. This exchange ratio implies a consideration of US$2.83 per share, representing a 29% premium based on the 20-day volume-weighted average price as of September 18, 2026. The all-share structure involves no cash consideration payable and no new debt incurred by the acquiring company.

Mineral Reserves and Project Timeline

The acquisition centers on Vista Gold's Mt Todd project, which hosts 9.1 million ounces of Measured and Indicated Mineral Resources alongside 1.4 million ounces of Inferred Mineral Resources. The property holds key regulatory permits required for a 50,000 tonne per day processing facility.

"We believe the combination with Artemis Gold is the best way to maximize value delivery for our shareholders, both immediately and in the longer term," said Fred Earnest, CEO, Vista Gold, in a statement.

While Mt Todd brings substantial development scale, Artemis Gold indicated that its Blackwater Phase 1A and EP2 expansion projects remain the immediate corporate priority. Construction and development at Mt Todd are scheduled to advance following the completion of the EP2 expansion at Blackwater.

Ownership Structure and Closing Requirements

Upon completion of the transaction, existing Artemis Gold shareholders will own approximately 95% of the combined company. Vista Gold shareholders will hold the remaining 5% stake.

The deal remains subject to customary closing conditions, including approval by 66 2/3% of the votes cast by Vista Gold shareholders at a special meeting. Additional closing requirements include regulatory clearances from Australia's Foreign Investment Review Board and Northern Territory Ministerial Consent. Transaction closing is expected in January 2027.
