Paramount and California's attorney general are discussing settlement terms, including a $1.5 billion in-state production pledge, to clear an $81 billion merger with Warner Bros. Discovery.
Paramount executives and a coalition of states that filed a lawsuit to block the company’s $81 billion merger with Warner Bros. Discovery spent the weekend working through details of a potential settlement reported by the Wall Street Journal.
Potential Concessions and Studio Commitments
Additional concessions discussed in the negotiations include a commitment not to sell either studio lot and to maintain existing operations within California. The talks also cover potential penalties involving the divestment of Paramount's stake in Miramax if the combined company fails to fulfill a commitment to produce 30 movies annually.
According to a Bloomberg report, Paramount could face penalties of up to $30 million for each movie not released under its earlier production commitments. The discussions highlight ongoing regulatory scrutiny over major media consolidation and the preservation of regional entertainment employment.
What Is at Stake for the Merger
The talks between Paramount executives and state officials represent a key hurdle for the proposed transaction. With multiple state attorneys general challenging the deal, any final agreement will likely depend on enforceable job retention and local production guarantees.
