Clinical-stage vaccine developer Vaxcyte has priced a concurrent public offering of common stock, pre-funded warrants, and convertible notes targeting $1 billion in gross proceeds to fund its late-stage vaccine programs.
The financing package splits evenly between equity and debt instruments, pairing a $500 million stock and warrant issue with $500 million in convertible senior notes maturing in 2032.
Breakdown of the $500 Million Equity Offering
Under the terms of the equity transaction reported by Investing.com, Vaxcyte priced 7,412,500 shares of common stock at $64.00 per share. Alongside the common stock, the company priced pre-funded warrants to purchase 400,000 shares at a price of $63.999 per warrant, with a nominal exercise price of $0.001 per share.
Pre-funded warrants are commonly utilized by investors to acquire large equity stakes without immediately exceeding beneficial ownership caps, as the bulk of the purchase price is paid upfront while the final share delivery occurs upon exercise.
Convertible Notes and Conversion Premium
The second component of the dual offering consists of $500 million in 1.50% convertible senior notes due 2032. These notes feature an initial conversion price of approximately $89.60 per share, establishing a 40% conversion premium over the public common stock offering price of $64.00.
Convertible notes offer issuers lower coupon payments, which in this case means an annual interest rate of 1.50%, in exchange for giving noteholders the right to convert debt into equity if the company share price appreciates past the conversion threshold.
Underwriter Options and Planned Uses
To accommodate potential excess demand, participating underwriters received a 30-day option to purchase up to an additional 1,171,875 shares of common stock and up to $75 million in additional convertible notes to cover over-allotments.
Vaxcyte stated it intends to allocate the capital toward advancing its clinical pipeline, specifically funding the clinical development of its VAX-31 adult and pediatric programs, scaling up manufacturing capacity, preparing for a potential U.S. commercial launch of VAX-31 in adults, and supporting early-stage research and development.
Market Performance and Valuation
Trading activity surrounding the offering reflected upward momentum in the public markets. Vaxcyte Inc. (PCVX) traded at $71.38, up 9.79% from its previous close of $65.02, as of October 9, 2026, according to Finnhub market data.
