Tata Motors has increased its takeover offer for Italy's Iveco Group to €14.40 per share, up from €14.10, framing the revised bid as its final attempt to secure the truckmaker ahead of an October 26 deadline.

The revised proposal comes as Tata Motors navigates activist investor resistance and a relatively low share tender rate, while regulatory authorization delays prompt adjustments to the ongoing acquisition timeline.

"Nevertheless, the Offeror [Tata Motors] has resolved to increase the price in consideration of the slight delay in the completion of the offer, due to prior authorisations process taking longer than initially," Tata Motors stated in a release.

Tender Status and Transaction Valuation

According to Borsa Italiana data, only 28.4% of the targeted Iveco Group shares had been tendered as of Friday. The tender offer officially opened on September 7 and is scheduled to close on October 26, 2026.

If all 271.2 million Iveco common shares are successfully tendered under the new terms, the revised offer price values the total transaction at €3.91 billion. This represents an increase from the previous valuation of €3.82 billion under the prior €14.10 per-share proposal.

Financing and Credit Facility Details

To fund the additional payout required by the price bump, Tata Motors secured an €85 million credit facility agreement with MUFG Bank Ltd, GIFT Branch. This debt arrangement covers the incremental capital needed to support the higher valuation without draining core operating liquidity.

The acquisition attempt highlights ongoing consolidation pressures within the European commercial vehicle sector. By pushing to finalize the transaction despite regulatory friction and modest early acceptance levels, the Indian automaker aims to expand its footprint in global truck and powertrain markets.
