South32 Sets October Vote on Alcoa Aluminium Asset Sale

South32 schedules an October 15 shareholder vote on the proposed sale of its aluminium assets, excluding Mozal, to Alcoa Corporation.

South32 has scheduled an annual general meeting for October 15, 2026, where shareholders will vote on the proposed sale of its aluminium value chain assets to Alcoa Corporation. This marks a key milestone in the transaction initially announced on July 1, 2026.

The upcoming vote, set for 12:00 pm Australian Western Standard Time at the Perth Convention and Exhibition Centre, will determine the fate of the cross-border divestment. The transaction encompasses a large portion of South32's aluminium operations, though the agreement explicitly excludes the Mozal Aluminium smelter located in Mozambique.

Independent Expert Review and Regulatory Filings

To aid shareholders in their decision-making process, South32 has prepared a package of advisory and regulatory documents alongside the notice of meeting.

The Transaction Explanatory Memorandum is accompanied by an Independent Expert's Report prepared by Grant Samuel & Associates Pty Limited, which evaluates the terms and fairness of the proposed divestment to Alcoa. Additionally, South32 will distribute a copy of Alcoa's registration statement on Form S-4, filed with the U.S. Securities and Exchange Commission in connection with the proposed transaction.

Asset Portfolio Restructuring

The exclusion of Mozal Aluminium from the Alcoa agreement leaves a distinct footprint in South32's regional portfolio management. While the aluminium value chain assets transition toward consolidation under Alcoa Corporation, South32 continues to retain and manage other core mining assets globally, focusing its strategic priorities amid shifting commodity market dynamics.

What Is at Stake for Shareholders

Approval from South32 investors on October 15 is a mandatory procedural hurdle for completing the transfer of the industrial assets. The outcome will reshape the operational footprint of both mining entities, altering production capacities and market positioning across global aluminium supply chains.
