Quantisimo Corp. has entered into a definitive business combination agreement with special purpose acquisition company GigCapital8 Corp. to form a new publicly traded entity on the Nasdaq Capital Market under the ticker QSMO.
The transaction values the combined enterprise at approximately $666.1 million on a pro forma equity basis, utilizing a standard valuation of $10.00 per share across 66,610,000 newly issued shares allocated to WISeQey and SEALSQ. This milestone follows a letter of intent originally announced on June 24, 2026, advancing toward a scheduled closing in the first quarter of 2027.
Structuring the Holding Company and Asset Contributions
Prior to the final closing of the business combination, WISeQey and SEALSQ plan to consolidate several strategic operating entities under the Quantisimo umbrella. These preparatory asset contributions encompass fractional or full interests in four distinct technology and cybersecurity ventures:
- Miraex SA
- SEALCOIN AG
- WeCan Group SA
- WISeSat.Space Holdings Corp.
The resulting parent entity, Quantisimo Holding Corp., will integrate these operations to form a quantum-technology and secure-infrastructure portfolio designed for public market investors.
Minimum Cash Conditions and Capital Requirements
To satisfy regulatory and operational closing conditions, the merger agreement outlines a strict minimum cash threshold. According to the Investing.com report, the transaction requires at least $15 million in available cash.
This funding pool is slated to draw from GigCapital8's trust account alongside any supplementary private investment in public equity (PIPE) commitments. Additionally, SEALSQ is required to provide a matching cash contribution to align with the funding obligations before the Nasdaq listing is finalized.
Understanding SPAC Mergers and Trust Accounts
A special purpose acquisition company like GigCapital8 is a shell organization formed specifically to raise capital through an initial public offering with the sole intent of acquiring a private operating company. By utilizing a SPAC rather than a traditional initial public offering, private enterprises can navigate public markets under a predetermined equity valuation while bypassing conventional underwriting roadshows.
Funds raised during a SPAC's IPO are typically placed into an interest-bearing trust account until a target is acquired. If terminating conditions or insufficient shareholder approvals arise, those funds are returned to public investors, making the satisfaction of minimum cash thresholds a critical hurdle for closing business combinations.
What Lies Ahead for QSMO
With the definitive agreement executed and filings submitted, both parties will navigate regulatory reviews and shareholder votes through the remainder of 2026. The targeted completion in early 2027 will test public market appetite for consolidated quantum and secure-communications infrastructure assets operating under the QSMO symbol.
