DCC Energy has agreed to sell its Nexora technology division to One Equity Partners for an enterprise value of $725 million on a cash-free, debt-free basis. The proceeds are tied to a pending acquisition by KKR and Energy Capital Partners.
"This transaction recognizes the quality of the business that the Nexora team has built and, subject to completion, will deliver additional value for DCC Energy shareholders," said Donal Murphy, Chief Executive of DCC Energy, in a statement regarding the divestiture.
Transaction Details and Timeline
Under the terms of the agreement reported by Investing.com, the divestiture of the technology unit is scheduled to close on or after March 1, 2027. Final completion of the sale remains contingent upon receiving customary regulatory approvals from relevant authorities.
The $725 million enterprise valuation reflects the standalone worth of the technology division ahead of the anticipated corporate restructuring.
Impact on Shareholder Payouts
According to Yahoo Finance, the sale influences DCC shareholders involved in the pending takeover by KKR and Energy Capital Partners. Investors may receive an additional supplemental payout of up to 125 pence per share.
Current financial estimates indicate a baseline payout of 42 pence per share, calculated using expected net proceeds of $701 million generated from the divestiture.
Divestiture Mechanisms in M&A
Corporate divestitures prior to a major buyout are used to return capital to equity holders. By executing a cash-free, debt-free sale of a non-core asset, the parent company isolates liabilities and realizes liquidity that can be distributed to investors before a larger private equity acquisition is finalized.
One Equity Partners is positioned to manage Nexora's operations and market development as an independent entity following the scheduled March 2027 closing date.
