PDS Biotech Secures $22.55M PIPE Financing Led by Nant Capital
PDS Biotechnology raised $22.55 million in a two-tranche PIPE financing led by Nant Capital to advance its PDS0301 cancer therapy and clinical pipeline.

PDS Biotechnology has secured a $22.55 million private investment in public equity (PIPE) financing led by Nant Capital to accelerate development of its PDS0301 cancer therapy. The deal provides the company with immediate capital, grants Nant Capital board representation, and includes an exclusive licensing option for a separate pipeline asset.
"We believe that the ongoing trials of PDS0301 at the NCI strongly suggest that PDS0301 has the potential to advance the treatment of solid tumors with immunotherapy," said Dr. Frank Bedu-Addo, CEO of PDS Biotechnology, in a statement regarding the deal.
Financing Structure and Milestones
The investment is structured in two distinct tranches to align capital infusion with clinical progress. According to a company report, the initial closing of approximately $11.55 million is expected to occur around September 11, 2026. A secondary $11 million milestone payment is triggered upon the submission of a Phase 3 clinical trial protocol for PDS0301 to the FDA.
As part of the agreement, Nant Capital gains the right to appoint two board members, including Dr. Patrick Soon-Shiong, provided the firm maintains at least 15% beneficial ownership of PDS Biotech's outstanding common stock. PDS Biotech has also granted NantWorks, LLC a one-year exclusive right to negotiate a license for PDS0101, the company's investigational HPV-targeted immunotherapy.

Understanding PIPE Transactions
A PIPE, or Private Investment in Public Equity, is a financial mechanism where institutional or accredited investors purchase shares or convertible securities directly from a public company. Unlike a traditional public offering, which requires extensive regulatory filings and a longer lead time, PIPEs allow companies to raise capital more quickly. This provides immediate liquidity for research and development, though it can result in shareholder dilution as new equity is issued to the investors.
Strategic Implications for PDS Biotech
For PDS Biotechnology, the infusion of capital is targeted at advancing its clinical pipeline. The focus on PDS0301, which is currently undergoing trials at the National Cancer Institute (NCI), remains central to the company's strategy. By securing this partnership, PDS gains financial support and potential strategic guidance from Nant Capital's leadership as it moves toward late-stage clinical trials.
