Birchtech Signs Term Sheet to Acquire Carbon Processing Facilities

Birchtech Corp. has signed a non-binding term sheet to acquire specialty activated carbon facilities in North Dakota and Pennsylvania to scale its technology.

Birchtech Corp. has signed a non-binding term sheet to acquire a private specialty activated carbon company. This move secures the first commercial-scale production capacity for its proprietary Carbon Rejuvenation technology. By integrating these assets, Birchtech plans to expand its presence in the water treatment sector, where demand for filtration media is high.

"This proposed acquisition could mark an exciting step forward in the continued development of our activated carbon and water treatment businesses, including advancing our carbon rejuvenation strategy with meaningful production capacity to service our initial water customers," said Richard MacPherson, Chief Executive Officer of Birchtech, in a statement regarding the agreement.

Scaling Carbon Rejuvenation

The proposed deal includes specialized processing facilities located in North Dakota and Pennsylvania. According to the company's announcement, these sites will be retrofitted or utilized to scale the company's rejuvenation process. The agreement is non-binding, except for specific provisions such as exclusivity, and remains subject to the completion of due diligence, a formal audit of the target company, and the execution of a definitive purchase agreement.

How Thermal Reactivation Functions

At the core of Birchtech's expansion is the mechanism of thermal reactivation. This process involves heating spent activated carbon to high temperatures in a controlled environment. The heat burns off the organic contaminants trapped within the carbon's pore structure during its initial use in water filtration. By removing these pollutants, the material's surface area and adsorptive capacity are restored, allowing the carbon to be reused instead of discarded as waste.

This circular approach is gaining importance in industrial water treatment, where the cost and environmental impact of disposing of spent carbon media are primary operational concerns. By securing its own processing capacity, Birchtech intends to offer a sustainable supply chain for its water treatment clients, reducing reliance on virgin carbon production.
