Nidec Shares Tumble 18% After PwC Withholds Audit Opinion

Nidec shares dropped 18% after PwC issued a disclaimer of opinion on its annual report, citing internal control failures and a $3 billion operating loss.

Nidec Corp shares fell by as much as 18% to 1,888 yen following a decision by auditor PwC to issue a disclaimer of opinion on the company's annual report. The move highlights governance concerns, as the firm struggles with financial losses and a leadership transition.

"[Nidec was] unable to obtain sufficient and appropriate evidence to form an opinion on the financial report," PwC stated in the audit disclaimer.

Financial Impact and Impairment Charges

The auditor’s decision comes as Nidec reports a 518.9 billion yen ($3 billion) operating loss for the fiscal year ending in March 2026. This loss was driven by a 632 billion yen impairment charge concentrated within the company's automotive and commercial products divisions.

In a statement released on Thursday, Nidec acknowledged the presence of "material weaknesses in internal control" that prevented the auditor from verifying the company's financial health. Regulators view these weaknesses as a failure in the systems designed to ensure the accuracy of financial reporting and the safeguarding of company assets.

Leadership Changes and Regulatory Deadlines

Nidec announced the immediate resignation of CEO Mitsuya Kishida. The board has appointed CTO Michio Kaida to serve as the new CEO and president to stabilize the company during the ongoing investigation.

The firm faces a regulatory deadline. According to a report on the audit situation, Nidec must submit a report on internal controls to the Tokyo Stock Exchange by the end of October. Failure to satisfy the exchange's requirements regarding these internal governance structures could result in the company being de-listed from the exchange.

Understanding Auditor Disclaimers

A disclaimer of opinion is the most severe outcome in an audit process. It indicates that the auditor could not complete their work because the company failed to provide necessary records or because accounting systems were unreliable. Unlike an "adverse opinion," which suggests the financial statements are inaccurate, a disclaimer signifies that the auditor cannot determine whether the statements are accurate.
