Monolithic Power Systems CEO Michael Hsing sold 30,000 shares of company stock on September 28, 2026, totaling approximately $40.3 million, according to an SEC Form 4 filing. The sale occurred while the semiconductor company holds its position in the power management market, with shares trading at $1,478.90 as of October 6, 2026.
"These transactions were executed under a pre-arranged Rule 10b5-1 trading plan, which allows insiders to set up a predetermined schedule for selling shares," according to an Investing.com report on the activity.
Understanding Rule 10b5-1 Plans
Rule 10b5-1 trading plans provide corporate insiders with an affirmative defense against accusations of insider trading. By establishing a written contract for the sale of securities at a future date, often based on specific price targets or calendar milestones, executives can divest portions of their holdings without appearing to leverage non-public information.
Because these plans are adopted well in advance of the actual trade, they remove the executive's discretion at the time of the transaction. High-level officers use this mechanism to manage personal liquidity while maintaining transparency with the market.
Insider Holdings and Market Position
Following the September divestment, Michael Hsing retains direct ownership of 818,264 shares of Monolithic Power Systems common stock. The sale represents a portion of his total stake in the company he leads, which produces analog and mixed-signal semiconductor solutions.
Investors often scrutinize insider selling to gauge management's view on future stock performance. Because these trades were conducted under a pre-arranged plan, market analysts view them as a routine part of executive compensation and estate planning instead of a reaction to immediate shifts in the company's operational outlook.
