MGM Resorts International is discussing a counter-bid to acquire Barry Diller's People Inc., reversing a takeover dynamic just a day after People Inc. withdrew its own proposal to buy the casino operator.
People Inc., formerly known as IAC, holds a 27% equity stake in MGM that is valued at roughly the same amount as People Inc.'s entire market capitalization, linking the fortunes of the two firms.
The Origins of Diller's Stake in MGM
Barry Diller began accumulating his substantial position in MGM in 2020, taking advantage of pandemic-era travel restrictions and widespread casino closures that depressed hospitality valuations.
Over the following years, that investment grew into a dominant holding, culminating in People Inc.'s recent attempt to take over the resort operator entirely before that bid was abruptly withdrawn.
Market Response and MGM Stock Performance
In the public markets, MGM shares traded at $31.52, down 1.07% from the previous close of $31.86, according to [Finnhub market data].
The pivot from being the target of a takeover approach to a potential acquirer highlights a shifting corporate strategy for MGM as it evaluates its relationship with its largest shareholder.
What Is at Stake for Both Companies
A potential transaction would resolve the complex cross-holdings between the two companies, transforming a multi-year activist stake into a full corporate consolidation if discussions advance toward a formal offer.
