Lululemon Athletica Inc. has appointed Heidi O'Neill as its new Chief Executive Officer and a member of the board of directors, concluding the interim co-CEO tenures of Meghan Frank and Andre Maestrini while updating corporate governance rules.

According to an SEC filing, O'Neill joins the board as a Class II director. This appointment expands the size of Lululemon's board from 11 to 12 members. Frank and Maestrini, who served as interim co-chief executive officers, stepped down from those transitional leadership roles immediately upon O'Neill's arrival.

Alongside the executive transition, Lululemon's board adopted immediate amendments to the company's bylaws. These changes align internal governance with recent developments in Delaware law and current SEC regulations governing universal proxy cards.
