Krait Critical Minerals (CSE: KRIT) is expanding its domestic asset portfolio by acquiring Nevada Hills Antimony LLC. This transaction secures 17 claims in Washington state as the company shifts toward U.S. based critical mineral sourcing. The acquisition coincides with a $1.5 million capital raise intended to accelerate exploration across the newly acquired sites and existing holdings.
"Execution of the Definitive Agreement is an important step in Krait's strategy to add U.S. based antimony opportunities to its minerals portfolio," said Oscar Mendoza, Chief Executive Officer of Krait Critical Minerals.
Deal Structure and Asset Details
Under the terms of the definitive agreement, Krait will acquire Nevada Hills Antimony LLC for a total consideration of 2.5 million common shares, valued at $0.87 per share, and $100,000 in cash. Of the cash component, $75,000 is payable upon the closing of the deal.
The acquisition grants Krait control over two primary assets, the Bales Antimony Project and the Antimony Bell Project. These projects encompass 17 claims covering approximately 310 acres in Okanogan County, Washington.
Strategic Shift to Domestic Sourcing
Antimony is a mineral used in flame retardants, lead-acid batteries, and as a hardening agent for lead and tin alloys. Because the global supply chain for the metal is concentrated in international markets, domestic exploration projects like those in Okanogan County are viewed by junior miners as assets for North American supply security.
To fund the initial phase of work on these new claims, and ongoing exploration at its existing Goldbar Spider Lake Project, Krait has launched a non-brokered private placement. The company is offering up to 2 million shares at a price of $0.75 per share, targeting gross proceeds of $1.5 million.
Implications for Krait's Portfolio
The acquisition represents a diversification for Krait, which has historically focused on different mineral classes. By moving into antimony, the firm is positioning itself within a segment of the mining industry that has seen interest due to its status as a critical mineral under U.S. federal guidelines. The success of this strategy depends on the firm's ability to prove the economic viability of the Washington claims through its planned exploration programs.
