Jefferies upgraded UGI Corporation to a Buy rating from Hold and established a $43.00 price target on Monday, following a reported $9 billion takeover proposal from private equity firm KKR. The upgrade reflects shifting valuation dynamics for the utility company amid outside acquisition interest.
Valuation Metrics and Takeover Terms
Under the proposed buyout terms reported by Investing.com, KKR offered to acquire UGI at $42.50 per share, a figure that sits just below the newly minted Jefferies price target of $43.00. Prior to the analyst revision, UGI stock traded at $38.27.
At the pre-upgrade trading level, UGI carried a price-to-earnings ratio of 12.73 and a price/earnings-to-growth ratio of 0.21. A PEG ratio below 1.0 typically indicates that a stock may be undervalued relative to its projected earnings growth rate, providing a numerical foundation for the revised analyst outlook.
Corporate Governance and Executive Incentives
Alongside the acquisition interest from KKR, internal governance changes are underway at the firm. According to Investing.com, UGI's Board of Directors approved a new Executive Short-Term Incentive Bonus Plan set to take effect on October 1, 2026. This structure replaces the company's existing executive annual bonus plans as leadership navigates the potential corporate transition.
