Hain Celestial Focuses on North America Following $323M Asset Sale
Hain Celestial is shifting to a North America-focused strategy after selling its international business for $323 million to reduce its total debt by 55%.

Hain Celestial is shifting its corporate strategy to prioritize the North American market. The company is using the $323 million sale of its international business to reduce its debt. This move follows a fiscal 2026 period characterized by improved cash generation and portfolio simplification.
"Fiscal 2026 was a pivotal year in which we took decisive actions to simplify our portfolio, pay down debt, improve execution, drive greater cost discipline, and sharpen our strategic focus," said Alison Lewis, Chief Executive of Hain Celestial, in the company's Q4 2026 earnings transcript.
Financial Turnaround and Cash Flow
The company reported an improvement in its cash position for fiscal 2026, generating $58 million in free cash flow. This is a recovery compared to the previous fiscal year, when the company recorded a free cash flow outflow of $3 million.
This improvement in liquidity coincides with the divestiture of its international business to Aurelius. Hain Celestial expects net proceeds from the sale to range between $305 million and $310 million. The company intends to direct these funds toward a debt-reduction program, which management expects will lower its pro forma total debt by approximately 55%.
Deleveraging the Balance Sheet
The capital allocation plan for the divestiture proceeds targets long-term and short-term liabilities. Specifically, Hain Celestial plans to use the cash to:
- Pay off its entire outstanding term loan.
- Reduce its revolving credit facility balance by more than 35%.
By retiring the term loan and paying down a portion of the revolver, the company aims to reduce its interest expense and provide flexibility for its North American operations.
Strategic Focus on North America
For investors and stakeholders, the divestiture represents a narrowing of the company's operational footprint. By exiting international markets, Hain Celestial is concentrating its resources on its core North American portfolio. This simplification is intended to streamline internal processes and allow for focused execution of its product strategy. The shift addresses concerns regarding the company's complexity and debt levels, establishing a baseline for its financial structure as it enters fiscal 2027.
