MySize Shifts Focus to Defense Technology and Warns of Potential Dilution
MySize, Inc. is launching an acquisition-led strategy to enter the defense technology sector and warned that future financing could lead to shareholder dilution.

MySize, Inc. (Nasdaq: MYSZ) is moving its corporate focus from fashion and retail technology to an acquisition-led strategy intended to build a defense technology platform. The company previously specialized in AI-driven measurement solutions for the apparel industry. Management signaled that this diversification is a long-term initiative instead of a singular transaction.
"Our objective is to build a defense technology platform over time, rather than pursue a single acquisition in isolation," said Ronen Luzon, Chief Executive Officer of MySize, in a statement.
Strategic Expansion and Financing Risks
The company has not provided a specific timetable, budget, or target list for the proposed acquisitions. Management emphasized that the pace of the transition will be dictated by market conditions and the availability of viable assets that fit their long-term growth criteria.
"We are looking beyond simply adding businesses. The objective is to identify transactions that make economic sense and establish a foundation for sustainable growth. The pace and scope of the strategy will depend on the quality of the opportunities, the terms available and our ability to support the businesses we acquire," said Luzon.
MySize warned in its official announcement that the implementation of this strategy may require additional equity or equity-linked financing. Such moves often lead to dilution for existing stockholders, a risk factor for smaller-cap firms seeking to fund inorganic growth through capital raises.
Execution and Regulatory Hurdles
Transitioning into the defense sector involves operational and regulatory complexity. MySize noted that any potential deals remain subject to several stringent conditions, including:
- Completion of satisfactory due diligence on acquisition targets.
- Agreement on definitive, legally binding terms.
- Receipt of necessary regulatory approvals.
- Obtaining required stockholder consent where applicable.
For investors, the pivot represents a departure from the company's established footprint in retail tech, where it developed proprietary sizing algorithms. The success of this new direction rests on the management team's ability to identify and integrate defense-related assets without overleveraging the company's balance sheet or excessively diluting current shareholders.
