Hafnia Limited expanded its equity stake in product tanker peer TORM plc with a $145.1 million share purchase, cementing its position as TORM's largest disclosed shareholder.
The transaction increases Hafnia's holdings in the company during a period of shifting ownership dynamics across the international shipping sector, where major operators are consolidating equity positions.
"This move reflects classic consolidator behavior, aligning with a pattern where a strategic owner accumulates shares as a financial investor progressively reduces its position," shipping analysts at SEB said in a note.
Transaction Details and Shareholding Impact
Under the purchase agreement, Hafnia agreed to acquire 4,500,000 Class A shares in TORM plc at a price of $32.25 per share, according to an Investing.com report.
The acquisition represents 4.39% of TORM's total issued and outstanding share capital. This block purchase raises Hafnia's aggregate ownership in TORM to approximately 18.22%, solidifying its footing as the primary strategic holder of the rival tanker operator.
Balance Sheet Capacity and Dividend Policy
The equity expansion is supported by Hafnia's liquidity position. The company reported a net loan-to-value ratio of 13% at the end of the second quarter, according to an IndexBox market analysis.
This leverage figure sits comfortably below the 20% threshold outlined in Hafnia's corporate dividend policy. Under its capital allocation framework, maintaining a net loan-to-value ratio beneath 20% allows the firm to target a 90% net profit payout ratio to shareholders while retaining sufficient liquidity for strategic acquisitions.
What Is at Stake for Tanker Consolidation
The transaction highlights ongoing structural shifts in the global product tanker market. As smaller financial investors exit or reduce legacy positions, larger capitalized operators like Hafnia are utilizing strong balance sheets to absorb blocks of shares, influencing corporate governance and market alignment across the sector.
