Goodwin PLC is in advanced negotiations to sell a portion of its Mechanical Engineering division to funds advised by Cerberus Capital Management for approximately £1.1 billion in cash. This potential divestment shifts the company's operational focus following a strategic review initiated earlier this year.
"The company emphasized that there is no certainty a deal will be completed or what the final terms will be," Goodwin stated in a regulatory disclosure regarding the ongoing discussions.
Scope of the Potential Transaction
The proposed sale encompasses several entities within the Mechanical Engineering division, which has served as a core part of the group's manufacturing output. The specific businesses included in the negotiations are:
- Goodwin Steel Castings
- Goodwin International
- Noreva
- Easat Group
- Pumps
Strategic Realignment
This move follows a formal strategic review announced by Goodwin on August 7, 2026. The board initiated this review to explore options for maximizing shareholder value. If the transaction concludes, the remaining Goodwin group will pivot its operations to focus on its two primary remaining segments: the Refractory Engineering Division and the Technological Division.
Market and Operational Context
For Goodwin, a diversified industrial firm, the sale represents a notable capital event. The divestment of the mechanical engineering assets would leave the company with a specialized portfolio focused on refractory materials and high-technology applications.
