Cerberus Bids for Stake in BFF Bank Amid Capital Review
Cerberus Capital Management proposed a sub-30% stake in BFF Bank via a €300 million capital increase as the Italian lender weighs asset sales.

Cerberus Capital Management has submitted a non-binding proposal to acquire a stake of less than 30% in BFF Bank SpA via a capital increase, according to a Bloomberg report. The preliminary offer arrives as the Italian lender evaluates multiple proposals to strengthen its balance sheet following regulatory pressure from the Bank of Italy.
The preliminary proposal from Cerberus involves a capital increase of about €300 million, equivalent to $350 million. The private equity firm structured its bid to remain under the 30% threshold, avoiding the legal trigger for a mandatory takeover bid under Italian financial regulations.
Competing Bids for BFF Assets
Alongside the Cerberus stake proposal, BFF Bank has attracted interest from several domestic financial institutions for specific business lines. BPER Banca SpA submitted a preliminary offer for BFF's payments and depositary-bank business, according to the Bloomberg report.
Additionally, state-backed asset manager AMCO submitted a proposal for BFF's factoring operations. The Sella Group also expressed competing interest in the payments unit, giving the lender's board multiple restructuring avenues to consider.
Regulatory Pressure From the Bank of Italy
The strategic review is unfolding under strict oversight from Italian banking authorities. The Bank of Italy previously instructed BFF to reassess its credit exposures and appointed two board-support representatives to oversee operations.
Regulators urged the lender to implement capital-strengthening measures to avert a projected capital shortfall by 2028. The combination of Cerberus's equity injection offer and competing unit sales forms part of the bank's response to these regulatory mandates.
