Yarrow Bioscience priced its underwritten public offering of 5.8 million common shares at $26.00 each, targeting $150 million in gross proceeds to fund clinical development. According to an Investing.com report, the offering positions the clinical-stage biotechnology firm to expand its therapeutic pipeline without immediate capital constraints.
Offering Terms and Underwriter Options
The financing comprises 5,769,231 shares of common stock priced at $26.00 per share, generating $150 million in anticipated gross proceeds before accounting for underwriting discounts, commissions, and estimated offering expenses.
In addition to the primary share count, Yarrow has granted its syndicate of financial institutions a 30-day option to acquire up to an additional 865,384 common shares at the same public offering price. This overallotment option allows underwriters to meet potential excess market demand following the initial allocation.
Syndicate Management and Closing Timeline
The transaction is scheduled to close on September 14, 2026, pending the satisfaction of customary closing conditions.
A multi-firm banking syndicate is managing the transaction. Jefferies, TD Cowen, and Guggenheim Securities are acting as joint book-running managers for the public offering, while LifeSci Capital serves as the lead manager.
Capital Allocation for Biotechnology Pipelines
For clinical-stage biotechnology companies, public offerings serve as a mechanism to sustain long-term research and development cycles. Drug candidates undergoing clinical trials require substantial capital to fund patient recruitment, trial administration, and regulatory filings before reaching commercial viability.
By securing $150 million in gross proceeds through the equity markets, Yarrow strengthens its balance sheet as it advances its experimental treatments through ongoing clinical evaluation phases.
