Dell Technologies Inc. director and Silver Lake Co-CEO Egon Durban, alongside affiliated Silver Lake entities, reported selling over $45 million in Class C common stock across early September 2026 filings, following share class conversions and a newly filed Form 144.
The transactions coincide with a sharp upward move in Dell Technologies Inc. stock, which closed at $567.29 on September 11, 2026, marking an 11.98% gain from its previous close of $506.62, according to Finnhub market data. Insiders regularly utilize pre-arranged trading plans and class conversions around periods of significant equity appreciation.
Breakdown of Silver Lake and Durban Transactions
Silver Lake Partners IV, L.P. reported the sale of 56,128 shares of Class C Common Stock totaling approximately $30.38 million on September 8, 2026. Those shares were executed at prices ranging from $516.27 to $536.40 per share.
Prior to executing those September 8 sales, Silver Lake Partners IV converted 76,049 shares of Class B Common Stock into an equal number of Class C Common Stock shares. Class conversions of this type are typically executed to facilitate liquidity or open-market sales.
A subsequent filing detailed that Silver Lake Partners V DE (AIV), L.P. sold 27,629 shares of Class C Common Stock on September 9, 2026. That block totaled approximately $14.93 million, with individual transaction prices ranging from $534.09 to $550.71 per share.
Understanding Class Conversions and Rule 144 Filings
Dual-class share structures, such as the one maintained by Dell Technologies, often feature Class B shares held by insiders or early private equity backers like Silver Lake that carry different voting rights or transfer restrictions compared to publicly traded Class C shares. Converting Class B stock into Class C stock is a prerequisite for selling those holdings on public exchanges.
In addition to the completed open-market dispositions, Dell Technologies Inc. received a Rule 144 notice covering a planned sale for the account of Egon Durban. The notice outlines a proposed sale of up to 1,900 shares of Class C Common Stock with an aggregate market value of $962,578, according to an SEC filing submitted on September 11, 2026.
Rule 144 of the Securities Act of 1933 provides a framework under which affiliates and restricted security holders can sell their stock in the public market without registering the transaction, provided they adhere to holding periods, volume limitations, and manner-of-sale requirements.
