Tyra Biosciences has priced a $400 million underwritten public offering of common stock and pre-funded warrants, channeling capital toward its ongoing drug development pipeline in oncology and rare genetic conditions. The transaction spans millions of newly issued shares and securities backed by institutional healthcare investors.

Offering Structure and Pricing Mechanics
The financing breaks down into two distinct tranches designed to accommodate institutional portfolio allocations. According to the PR Newswire release, Tyra Biosciences priced 9,079,000 shares of common stock at $22.03 per share alongside pre-funded warrants to purchase 9,078,529 shares at $22.029 per share.
Pre-funded warrants are commonly utilized in life sciences equity financings when institutional investors approach ownership caps or regulatory ceilings within a single corporate entity. By paying nearly the full share price upfront with a nominal remaining exercise fee, investors can acquire economic exposure equivalent to common stock without immediate voting threshold complications.
Institutional Backing and Market Reaction
The financing round drew participation from prominent healthcare-focused asset managers. RA Capital Management led the offering, with capital contributions from new and existing institutional stakeholders including Invus, Commodore Capital, BVF Partners, Janus Henderson Investors, Trails Edge Capital Partners, Integral Health Asset Management, TCGX, and StemPoint Capital LP.
In the public markets, Tyra Biosciences Inc. (TYRA) shares traded at $26.03, rising 2.36% from a previous close of $25.43, according to Finnhub market data.
Pipeline Deployment Strategy
Biotechnology firms frequently deploy secondary offerings to extend their cash runways through upcoming clinical readouts. Tyra intends to pair the net proceeds from this $400 million transaction with its existing cash reserves and marketable securities.
Funds will directly support the advancement of the 'dabogratinib 3x3' development strategy. This clinical roadmap targets low-grade upper tract urothelial carcinoma, intermediate-risk non-muscle invasive bladder cancer, and achondroplasia.
