StoneX has increased its price target for Third Coast Bancshares (TCBX) to $56 from $54 while maintaining a Buy rating. This change follows the bank's announcement of a $240 million acquisition of Great Plains Bancshares. The revision reflects the firm's view on the expansion, even considering the financial trade-offs of the deal structure.
"The transaction will result in near-term dilution to tangible book value per share," StoneX analysts noted in a report regarding the deal's immediate financial impact on Third Coast Bancshares.
Deal Structure and Dilution Mechanics
The acquisition is an all-stock transaction valued at approximately $240 million. Third Coast Bancshares will issue 5,570,352 new shares of common stock to complete the purchase.
In an all-stock acquisition, the acquiring company uses its equity as currency to buy the target firm. This preserves cash reserves but increases the total number of outstanding shares. This issuance causes dilution, as the earnings per share (EPS) and tangible book value per share (TBVPS) are spread across a larger pool of ownership. Analysts monitor this metric because it represents the net asset value of the bank excluding intangible assets like goodwill.
Timeline and Regulatory Path
The merger is slated to close in the first quarter of 2027. Finalization depends on customary closing conditions, including regulatory approvals and the affirmative vote of shareholders from both institutions.
Strategic Implications
Regional banks use acquisitions like the Great Plains deal to increase their geographic footprint or expand lending portfolios. By absorbing Great Plains Bancshares, Third Coast Bancshares aims to scale its operations. The market will evaluate whether the combined entity offsets the initial dilution through operational synergies and expanded revenue after the 2027 closing date.
