Shionogi Acquires IntraBio for $2B in Rare Disease Expansion

Shionogi is acquiring Austin-based biotech IntraBio for $2 billion upfront to expand its rare disease portfolio with the approved drug Aqneursa.

Japanese drugmaker Shionogi is expanding its rare disease portfolio by acquiring Austin-based biotech IntraBio for $2.0 billion upfront, securing full control of the approved neurological treatment Aqneursa, according to a company announcement.

"The planned acquisition of IntraBio actively demonstrates Shionogi's solid commitment to building a leading global rare disease business," said Isao Teshirogi, Ph.D., CEO of Shionogi, in a statement regarding the deal.

Acquisition Terms and Financial Profile of IntraBio

Under the terms of the agreement, Shionogi Inc. will acquire all outstanding shares of IntraBio for an upfront cash consideration of $2.0 billion payable to IntraBio shareholders, as detailed in Shionogi's official release. Financial disclosures from the transaction show that IntraBio recorded net sales of $67.9 million for fiscal year 2025, alongside a net loss of $35.8 million during the same period.

"We look forward to bringing AQNEURSA to Shionogi as part of our expanding rare disease presence in the U.S., Europe and around the world," said Nathan McCutcheon, President and CEO, Shionogi Inc.

Regulatory Timeline for Lead Drug Aqneursa

The central asset in the transaction is Aqneursa, a specialized treatment targeting rare neurological disorders. The therapy secured approval from the U.S. Food and Drug Administration in September 2024 for neurological manifestations of Niemann-Pick disease Type C in adults and pediatric patients, followed by approval from the European Medicines Agency in January 2026.

In addition to its Niemann-Pick indication, the FDA approved Aqneursa for the treatment of Ataxia in adults and pediatric patients diagnosed with Ataxia-Telangiectasia on September 18, 2026. The EMA is currently reviewing the treatment for the Ataxia-Telangiectasia indication.

What Niemann-Pick Type C and Ataxia-Telangiectasia Mean for Patients

Both conditions targeted by Aqneursa are severe, progressive genetic disorders that primarily affect children and young adults. Niemann-Pick disease Type C impairs the body's ability to transport cholesterol and other lipids within cells, leading to progressive neurological deterioration, cognitive decline, and loss of motor function. Ataxia-Telangiectasia is a rare inherited disorder characterized by progressive loss of muscle coordination, immune system abnormalities, and an increased vulnerability to infections and malignancies.

The transaction highlights a pharmaceutical industry pattern where major drugmakers utilize multibillion-dollar acquisitions to acquire commercial-stage rare disease assets. By absorbing IntraBio's pipeline and established regulatory approvals, Shionogi secures a commercial foothold in specialized therapeutic markets with high unmet medical needs and distinct regulatory pathways.
