The board of Sanderson Design Group is urging shareholders to vote against a motion to remove Chair Dame Dianne Thompson. They argue that the campaign led by an activist shareholder threatens the company's financial turnaround. The push, initiated by shareholder LBV Actio Limited, seeks to replace Thompson with Stephen Brooke at a general meeting scheduled for October 29, 2026.

"The board believes the proposed removal of the chair is unnecessary, disruptive, and not in the best interests of the company or its shareholders as a whole," the company stated in its official response to the requisition.

Financial Performance and Succession Planning

Sanderson Design Group, a luxury interior furnishings firm, has pointed to its recent financial trajectory to defend its current leadership. The company reported a 22% increase in profitability for fiscal year 2026 and a 50% rise in the first half of fiscal year 2027.

The board highlighted that a formal succession strategy is already in place. According to a company announcement, directors established plans in December 2024 to initiate a search for Thompson’s successor beginning in January 2027. The board maintains that this timeline allows for an orderly transition rather than the volatility associated with an immediate, activist-led replacement.

Disputed Suitability of Nominee

The board has formally questioned the suitability of Stephen Brooke, the individual nominated by LBV Actio Limited, which holds approximately 11.854% of the company's shares. Directors noted that Brooke’s professional background is primarily rooted in industrial technology, cleantech, water, and energy sectors.

According to a report by Yahoo Finance, the board contends that Brooke lacks the specific industry experience required to navigate the luxury interior furnishings market. By challenging his appointment, the board is framing the conflict as a choice between their track record in the design sector and the risks of installing a candidate with a background in unrelated industrial fields.

Voting Mechanics

The outcome of the dispute will be decided at the general meeting on October 29. Shareholders intending to participate via proxy must submit their votes by 9:00 a.m. on October 27, 2026. The result will determine whether the current board's timeline for leadership succession remains intact or if the company will undergo an immediate change in governance.
