Samsara CTO John Bicket Sells $10 Million in Stock

Samsara CTO John Bicket sold $10.04 million of Class A common stock across multiple family trusts under a pre-arranged Rule 10b5-1 trading plan.

Samsara (NASDAQ: IOT) Chief Technology Officer John Bicket sold approximately $10.04 million in Class A Common Stock between September 29, 2026, and October 1, 2026, according to an Investing.com report. The executive transactions were executed across multiple family trusts under pre-arranged trading plans.

Trust Holdings and Execution Prices

The insider sales involved distinct holdings managed through the executive's personal revocable trust as well as third-party trust accounts. A significant portion of the disposals, totaling $7.92 million, came directly from the John C. Bicket Revocable Trust.

Those shares were traded at prices ranging from $37.6705 to $39.173 per share across the multi-day trading window. Additional sales totaling roughly $2.12 million were executed by Jordan Park Trust Company LLC for The Bicket-Dobson Trust I and Trust II, with execution prices spanning from $37.682 to $38.92 per share.

How Rule 10b5-1 Plans Govern Insider Sales

All of the transactions were conducted pursuant to a Rule 10b5-1 trading plan that Bicket originally adopted on September 29, 2025, exactly one year prior to the execution window.

Rule 10b5-1 plans provide a standardized mechanism for corporate insiders (including officers, directors, and major shareholders) to trade company stock. By establishing a predetermined schedule, volume, and pricing formula at a time when the insider possesses no material nonpublic information, executives can execute planned sales while maintaining compliance with insider trading regulations.

Executive Role and Ownership Context

Bicket serves as Executive Vice President, CTO, and a member of the board of directors at Samsara. Beyond his executive responsibilities, he maintains status as a 10% owner of the connected vehicle and Internet of Things platform provider.

Despite the multi-million-dollar share disposition spanning early autumn, the pre-scheduled nature of the transactions under the year-old 10b5-1 adoption dates ensures the sales align with established regulatory compliance frameworks for corporate leadership.
