Pennon Group shares dropped 16% after the UK water utility announced a fully underwritten £550 million rights issue and a 30% reduction in its dividend per share to fund expanded infrastructure upgrades.

The capital raise marks a strategic overhaul initiated by Pennon's new chief executive to address mounting regulatory requirements and increase environmental investment across its regulated water businesses.

"This comprehensive package addresses our capital requirements head-on, ensuring we can deliver essential environmental improvements while maintaining financial resilience," the company said in a statement regarding the strategic update.

Rights Issue and Dividend Rebase Terms

Under the terms of the corporate action, Pennon is issuing 220.3 million new shares at 250p each. The transaction is structured on the basis of seven new shares for every 15 existing shares, representing a 35.5% discount to the theoretical ex-rights price.

Alongside the equity dilution, the total dividend for the 2026/2027 financial year will decrease to approximately £125 million from £138 million. This adjustment creates an implied underlying reduction in dividend per share of about 30% to around 18 pence per share, according to an Investing.com report.

Expanding AMP8 Capital Investment

The funding package supports an expanded capital investment program for regulated water businesses over the AMP8 regulatory period. Investment is now expected to reach approximately £3.6 billion, representing about £1 billion more than the original plan, while regulatory capital value is projected to grow by over 40%, according to a Proactive Investors report.

To streamline operations and support balance sheet targets, Pennon proposes to sell Pennon Power. The company plans to allocate roughly £25 million of the divestment proceeds toward behind-the-counter renewable generation at operational sites, with the remainder applied to reduce group debt.

Regulatory Determinations by Ofwat

The financial restructuring arrives as UK utilities navigate strict oversight from water regulator Ofwat. In a draft decision for the 2026 cost change process, Ofwat provisionally allowed £230 million, equivalent to £190 million in 2022/23 prices. This provisional figure covers 76% of what Pennon originally requested, with a final regulatory determination scheduled for release by December 15 at the latest.

What's at stake is the sector's ability to finance extensive infrastructure overhauls without breaching debt-to-RCV parameters or losing investor confidence through steep dividend reductions.
