MySize has agreed to raise approximately $2.5 million through an at-the-market private placement of common stock and warrants under Nasdaq rules, directing the proceeds toward working capital and a strategic expansion into the defense technology sector.
"The offering is expected to close on or about September 16, 2026, subject to customary closing conditions," according to a PR Newswire release.
Offering Structure and Pricing
Under the definitive agreements, MySize is issuing 1,308,901 common shares, or pre-funded warrants in lieu thereof, at a purchase price of $1.91 per share. H.C. Wainwright & Co. is acting as the exclusive placement agent for the transaction.
In addition to the common shares, participating investors will receive unregistered Series C warrants with a five-year term and Series D warrants carrying an 18-month term. These warrants grant investors the right to purchase up to an aggregate of 2,617,802 additional shares at an exercise price of $1.66 each.
Strategic Pivot to Defense Tech
Beyond funding standard operating expenses and general corporate purposes, MySize stated that the capital will support an active pivot into defense technology. The company plans to pursue this vertical through selective acquisitions.
Small-cap technology firms increasingly eye defense markets to capture government procurement budgets. By restructuring capital via at-the-market placements and warrant issuances, MySize is positioning its balance sheet to absorb early-stage acquisition targets in the defense sector.
