CrowdStrike director Roxanne S. Austin sold 50,000 shares of Class A common stock for approximately $11.88 million, following an option exercise, according to an investing.com report.

The transactions took place on September 14, 2026, as CrowdStrike Holdings Inc (NASDAQ: CRWD) shares traded at $237.65, marking a 3.28% decline from the previous close, according to Finnhub market data as of September 18, 2026. Executive and director stock transactions filed via SEC Form 4 provide regular insight into insider liquidity events and equity management within publicly traded technology firms.

Option Exercise Mechanics and Pricing

Prior to executing the open-market sales, Ms. Austin acquired the 50,000 shares by exercising stock options at a strike price of $11.13 per share. These options were originally granted on October 9, 2018, representing an eight-year holding period leading up to the exercise and subsequent sale.

The subsequent stock sales were executed across a price range of $237.01 to $238.37 per share, netting gross proceeds of approximately $11.88 million before accounting for transaction fees and applicable tax withholdings associated with the option exercise.

Remaining Direct Ownership Stake

Following the completion of the option exercise and subsequent open-market sales, Ms. Austin directly holds 77,040 shares of CrowdStrike Class A common stock. SEC Form 4 filings require corporate insiders, including directors, executive officers, and beneficial owners holding more than 10% of a registered class of equity securities, to report changes in their beneficial ownership within two business days of a transaction.

Insider transactions of this scale are common components of executive and director compensation packages, allowing board members to realize long-term value from equity grants while maintaining substantial ongoing ownership interests aligned with public shareholders.
