Elon Musk has clarified the operational structure of the Terafab AI chip complex. He stated that Tesla and SpaceX will maintain full control of the facility, and he dismissed speculation regarding a management role for TSMC.
Located in Grimes County, Texas, the Terafab project is a $16.8 billion joint venture between the two companies. The facility is designed to reach an annual AI compute capacity exceeding one terawatt to support the data processing requirements of Musk's technology initiatives.
"[We] will build and run the fab. Let there be ZERO doubt about that," Musk stated in a post on X.
Intel's Role in Manufacturing
TSMC’s potential involvement in the project is restricted to a possible sublease of a segment of the site. Intel remains the primary manufacturing partner. Intel CEO Lip-Bu Tan confirmed the company's commitment to the project, reinforcing the partnership established in April.
Intel is the sole manufacturing provider for the complex, utilizing its 14A process node. This technology is the only manufacturing process identified for the facility's output, making Intel the primary provider for hardware production at the Texas site.
Understanding the Terafab Structure
For the semiconductor industry, the distinction between operational control and manufacturing partnership is important. By retaining authority to build and run the site, Tesla and SpaceX ensure that the proprietary architecture and specific compute requirements of their AI models remain under their direct oversight. They avoid the standard management protocols of a third-party foundry.
This structure allows the project to use Intel’s fabrication capabilities, specifically the 14A node, while maintaining the operational autonomy Musk described as critical to the project. The recent announcement distinguishes the roles of the three entities involved:
- Tesla and SpaceX: Owners and operators of the facility.
- Intel: Exclusive manufacturing partner utilizing 14A process nodes.
- TSMC: Potentially a site tenant via a limited sublease, with no management authority.
