Michael Dell's DFO and Sequence Holdings are nearing a $7.7 billion take-private deal for Baldwin Insurance Group at $32.50 per share.

Michael Dell's family office, DFO Management, and tech-focused investor Sequence Holdings are in advanced talks to acquire Tampa-based The Baldwin Insurance Group in a take-private transaction valued at $7.7 billion. The proposed buyout offers $32.50 per share in cash, beating out bids from traditional private equity firms as technology-oriented capital continues to capture major insurance brokerage assets.
The $32.50 per share offer represents a premium of roughly 10% over Baldwin's closing price of $29.65 on Friday, according to data from Yahoo Finance. Final terms are still being negotiated, and representatives for DFO Management and Baldwin Insurance Group have not yet released official statements regarding the talks.
Revenue Growth and Second-Quarter Earnings
The acquisition discussions follow a financial performance report from the insurance broker. In its second-quarter 2026 earnings report, Baldwin Insurance Group posted total revenue of $492.9 million, marking a 30% gain year-over-year.
Profitability also expanded during the quarter. The company reported adjusted diluted earnings per share of 48 cents, representing a 14% increase compared to the same period in the prior year.
How Sequence Holdings Targets Operations
The buyer group's inclusion of Sequence Holdings highlights a shift toward tech-enabled takeovers in mature industries. Launched earlier in 2026, Sequence Holdings focuses on buying established service-sector businesses and updating their operations through proprietary software and embedded engineering teams.
Sequence is backed by prominent venture capital and investment firms, including 8VC, Conviction, Lux Capital, and DFO Management itself. This operational model gives the buying consortium an edge over traditional private equity firms that rely primarily on financial leverage and cost-cutting rather than software-driven enterprise transformation.
Broader M&A Activity in Insurance Brokerages
The proposed Baldwin agreement arrives amid consolidation across the insurance brokerage sector. The transaction follows Aon's agreement to acquire USI Insurance Services from KKR for $17 billion, bringing total recent major brokerage acquisition activity to over $24 billion within a two-week span, according to Insurance Business America.
