Meta Platforms, Inc. Chief Operating Officer Javier Olivan sold $1.18 million worth of company stock on September 28, 2026, as part of a pre-arranged trading plan. The transaction involved the sale of 1,575 shares of Class A Common Stock at prices ranging from $748.91 to $750.425 per share.
These sales were executed under a Rule 10b5-1 trading plan that Olivan formally adopted on November 17, 2025. Following the completion of these trades, Olivan maintains a direct holding of 8,824 shares, alongside additional indirect stakes held through various LLCs and a family trust.
Understanding Rule 10b5-1 Trading Plans
Corporate insiders, such as C-suite executives and board members, are often privy to non-public information that could influence a stock's price. To mitigate the risk of allegations related to insider trading, regulators allow executives to establish Rule 10b5-1 plans.
These plans function as a legal mechanism that allows insiders to set up a predetermined schedule for selling or buying stock.
