Madison Dearborn to Buy Marygold for $2 Per Share in Cash

Madison Dearborn Partners will acquire The Marygold Companies for $2 per share in cash, taking the USCF ETF holding firm private at a 100% premium.

Madison Dearborn Partners has agreed to acquire The Marygold Companies (NYSE:MGLD) for $2.00 per share in cash, taking the holding firm private in a transaction that values the business at a 100% premium over its prior closing price, according to an Investing.com report.

"The transaction provides immediate and certain value to our stockholders at a significant premium," said Nicholas Gerber, outgoing President, CEO, and Chairman of Marygold, in a statement regarding the acquisition.

Strategic Focus on USCF ETF Business

The acquisition centers on Marygold's primary operating subsidiary, USCF, a commodity-focused exchange-traded fund manager overseeing approximately $6 billion in assets under management. Under private ownership backed by Madison Dearborn Partners, the firm plans to narrow its strategic focus entirely on expanding its ETF platform.

Following the completion of the deal, Tim Rotolo will assume the role of Chief Executive Officer at Marygold. Rotolo brings more than 15 years of experience across ETFs, public markets, and institutional capital raising. His background includes launching and scaling thematic ETF platforms, notably the URNM uranium mining exchange-traded fund, which grew to exceed $1 billion in assets before its sale to Sprott Asset Management.

Shareholder Support and Closing Timeline

The definitive agreement has secured backing from major equity holders ahead of the formal vote. Certain stockholders of Marygold, including outgoing CEO Nicholas Gerber, collectively own approximately 75% of the company's outstanding shares and have already entered into voting and support agreements in favor of the buyout.

Closing of the transaction is anticipated during the first half of 2027, according to the corporate announcement. Finalization remains contingent upon standard closing conditions, regulatory authorizations, and approval from public Marygold stockholders.
