Kelso Group Holdings Plc launched a conditional retail share offer at 3.3 pence per share, representing a 5.7% discount to the closing mid-price of its existing ordinary shares on Tuesday, according to an Investing.com report. The capital raise runs alongside parallel institutional placings and existing investor subscriptions to fund the investment vehicle's portfolio expansion.

Structure of the Retail Placement

The retail offer is being conducted via RetailBook, featuring an aggregate cap of £1 million unless executives agree to further allocations. Individual subscriptions start at a minimum of £250, with no commission charged to participants through the platform.

The offering is expected to close at 5:00 p.m. on Tuesday, September 16, 2026. Final completion remains conditional upon the admission of the new ordinary shares to the Official List of the Financial Conduct Authority (FCA) and to trading on the London Stock Exchange's main market.

Deployment of Net Proceeds

Kelso Group operates as a Main Market-listed investment vehicle holding a portfolio of approximately ten UK-listed small and mid-cap companies. Executives plan to allocate the net proceeds from the retail offer, institutional placing, and subscriptions toward increasing financial exposure to developing holdings and other identified investment opportunities within the UK market.
