JPMorgan US Smaller Companies Investment Trust has agreed to combine with Brown Advisory US Smaller Companies through a members' voluntary winding up, creating a larger combined entity in the UK investment trust sector.
The proposed transaction will be executed under non-binding heads of terms, bringing together two distinct portfolios focused on smaller U.S. equities. Under the terms of the agreement, shareholders of Brown Advisory US Smaller Companies PLC will receive new shares in the JPMorgan US Smaller Companies Investment Trust or can choose a cash exit option.
Transaction Structure and Shareholder Options
The combination will be implemented via a scheme of reconstruction under section 110 of the Insolvency Act 1986, involving a members' voluntary winding up of Brown Advisory US Smaller Companies.
Participating shareholders can roll over their investments into JPMorgan US Smaller Companies Investment Trust shares or elect for a cash option. The cash alternative carries a 0.75% discount relative to the residual net asset value of Brown Advisory US Smaller Companies.
Saba Capital's Role and Standstill Agreement
Saba Capital Management LP, which holds an approximate 16% stake in the issued share capital of Brown Advisory US Smaller Companies, has committed to supporting the transaction. The activist investor has provided an irrevocable undertaking to vote in favor of the scheme.
In addition to voting in favor, Saba Capital has elected the cash option for its entire holding and signed a standstill agreement that remains in effect through October 7, 2027.
What Consolidation Means for Investment Trusts
Trust mergers in the UK closed-end fund sector have accelerated as boards seek to improve secondary market liquidity and reduce operational costs through economies of scale. Smaller investment trusts frequently face wide share price discounts to net asset value, prompting institutional shareholders and board directors to pursue restructuring options.
The combined JPMorgan vehicle will absorb the assets following the formal winding up of Brown Advisory US Smaller Companies, pending final documentation and shareholder approvals.
