Gore Street Energy Storage Fund's sale of its German Cremzow asset has collapsed after the prospective buyer slashed its offer at a late stage, with the board blaming deal uncertainty on Saba's requisitioned resolutions.

The 22-megawatt battery energy storage system in Germany saw its divestment process stall after the unidentified bidder altered pricing terms during advanced negotiations, according to an Investing.com report. Gore Street Energy Storage Fund plc stated that the late-stage reduction scuttled the transaction entirely, prompting the board to halt the sale under those terms rather than accept a discounted valuation.

"This is an unfortunate and frustrating development, particularly given the advanced stage of the transaction," said Angus Gordon Lennox, chair of the company, in a statement regarding the collapsed negotiations.

Asset Performance and Revenue Metrics

The failed divestment targets the Cremzow facility, a functioning operational asset within Gore Street's international portfolio. Despite the deal's collapse, the site has demonstrated consistent operational output during the ongoing financial period.

According to company operational data, the Cremzow facility generated revenues of £17.19 per megawatt per hour in the first quarter of fiscal year 2026/27. Battery energy storage revenues depend heavily on frequency response services, arbitrage, and capacity market payments across European power networks.

Impact of Saba Requisitioned Resolutions

Gore Street's board explicitly rejected the notion that broader European energy storage market conditions drove the buyer's sudden retrenchment. Instead, directors pointed directly to corporate governance turbulence.

Management attributed the prospective buyer's decision to cut its offer directly to uncertainty stemming from requisitioned resolutions put forward by Saba Capital Management. Activist shareholder pressure and requisitioned general meetings can introduce corporate uncertainty for prospective buyers evaluating asset purchases or corporate transactions.

Next Steps for Alexa Capital

Following the termination of the exclusive or advanced talks with the primary bidder, Gore Street has pivoted to alternative liquidity options for the German holding.

The board has instructed its sell-side adviser, Alexa Capital, to re-engage with other interested parties that previously participated in the bidding process. Whether alternative bidders will match previous valuation expectations or alter their bids in response to the ongoing governance disputes remains to be seen as the advisory firm tests the broader market.
