The Forterra Employee Benefit Trust has acquired 75,000 ordinary shares at an average price of £1.532 per share. This purchase continues the company's monthly acquisition program. The trust uses these holdings to satisfy obligations under various employee share incentive schemes.

Apex Financial Services (Trust Company) Limited executed the purchase as the trustee. This transaction accounts for half of the 150,000 shares the trust committed to purchasing each month under a framework first announced on October 13, 2025.

Impact on Trust Holdings

Following this trade, the Employee Benefit Trust holds 3,390,148 ordinary shares in Forterra plc. This position represents approximately 1.67% of the total voting rights in the company.

Publicly traded companies use Employee Benefit Trusts to manage share-based compensation. By holding shares in an independent vehicle, the company keeps equity available for distribution to employees for performance bonuses or long-term incentive plans. This approach avoids the need to issue new shares, which would dilute existing shareholders.

Program Context

The monthly purchase program maintains a supply of trust-held shares. By spreading purchases over time instead of executing one-off acquisitions, the company minimizes market impact while meeting incentive obligations.

Forterra, a manufacturer of building products, uses these share schemes to align the interests of its workforce with those of its shareholders. The company aims to encourage retention and performance through equity ownership.
