ENDRA Life Sciences moved forward with its planned merger by filing a Registration Statement on Form S-4 with the U.S. Securities and Exchange Commission on October 2, 2026. This filing represents a step in the integration of Noble Africa, a subsidiary of ASP Isotopes, into the corporate structure of ENDRA.
The proposed transaction, which was originally entered into on June 25, 2026, involves an agreement between ASP Isotopes, ENDRA, Noble Africa LLC, Renergen Limited, and Kruger Merger Sub LLC.
Mechanics of the Merger
Under the terms of the agreement, Kruger Merger Sub LLC will merge with and into Noble Africa LLC. Upon completion of the merger, Noble Africa will survive as a direct, wholly owned subsidiary of ENDRA Life Sciences.
This structure facilitates the transfer of control of the Noble Africa assets while maintaining the operational status of the entity under the ENDRA corporate umbrella. The transaction remains subject to closing conditions, including regulatory clearances and the formal approval of ENDRA stockholders.
Market Context
ASP Isotopes (ASPI) shares traded at $2.88 on October 8, 2026. The S-4 filing is a requirement for public companies seeking to register securities in connection with a business combination. It provides shareholders with information regarding the terms, risks, and financial health of the involved entities.
The filing serves as the disclosure document that will be distributed to stockholders to facilitate their vote on the merger. Until the SEC declares the registration statement effective and stockholders provide their approval, the transaction remains in the preliminary stages of the regulatory review process.
