Canada's Cohere and Germany's Aleph Alpha signed a definitive merger agreement on Wednesday to form a combined enterprise AI entity, uniting North American and European operations to challenge dominant foundational model providers.
"powerful enough to compete, but secure and governable enough to trust," said Aidan Gomez, Chief Executive Officer, Cohere, in a statement regarding the strategic tie-up.
Dual Headquarters and Leadership Structure
The newly combined business will operate under the Cohere name with dual headquarters established in Toronto and Berlin. According to an Investing.com report, Aleph Alpha's Heidelberg office will transition into a dedicated research hub following the transaction.
Leadership of the merged entity combines executives from both firms. Ilhan Scheer, co-chief executive of Aleph Alpha, will assume the role of chief operating officer at Cohere.
Valuation and Financial Metrics
The merger was initially disclosed in April with an estimated valuation of around $20 billion, equivalent to €17.34 billion at the time. Updated financial terms for the definitive agreement were not disclosed, and the transaction remains subject to customary regulatory approvals.
The two companies bring distinct financial profiles to the combination. Cohere reported $240 million in annual recurring revenue last year, while Aleph Alpha recorded revenue of less than €1 million in 2023, according to its latest public accounts.
Schwarz Group Investment and Computing Infrastructure
The transaction is bolstered by a financial and infrastructural commitment from Europe. The Lidl-owner Schwarz Group is investing €500 million into the new entity and will supply dedicated computing capacity through its cloud computing division, StackIT.
Strategic Position in the Enterprise AI Market
The consolidation highlights a market trend where mid-sized foundational model developers join forces to secure the computational resources and capital required to compete with larger tech conglomerates. By pairing Cohere's commercial scale with Aleph Alpha's sovereign European footprint and the Schwarz Group's infrastructure backing, the combined firm aims to capture heavily regulated corporate and government segments.
