Circle Internet Group Chairman and CEO Jeremy Allaire sold $5.2 million worth of Class A common stock on October 5, 2026, according to an insider trading disclosure. The divestment was executed pursuant to a pre-arranged 10b5-1 trading plan. This mechanism is used by corporate insiders to schedule stock sales in advance to avoid potential conflicts of interest or allegations of insider trading.
Breakdown of the Transaction
The total sale of $5,204,478 involved a combination of direct and indirect holdings. Allaire directly disposed of 56,200 shares. An additional 6,064 shares were sold indirectly through four separate irrevocable non-grantor trusts: Oak, Chestnut, Beech, and Spruce.
Following these transactions, Allaire maintains a direct ownership of 277,560 Class A common shares. This remaining stake consists of 69,491 shares held outright and 208,069 shares that are issuable upon the future vesting of restricted stock units.
Understanding 10b5-1 Trading Plans
Rule 10b5-1, established by the U.S. Securities and Exchange Commission, allows company insiders to set up a written plan for selling securities. By establishing the plan at a time when they are not in possession of material non-public information, executives create a safe harbor defense against claims of illegal insider trading. These plans specify the amount, price, and dates of future stock sales, removing the executive's discretion over the timing of individual trades once the plan is active.
For investors, the filing of these plans and subsequent transactions provides transparency regarding the liquidity needs or portfolio rebalancing of high-level leadership. Market participants monitor these sales to observe signals regarding executive sentiment toward the company's valuation.
