B.Riley downgraded Priority Technology Holdings to Neutral and cut its price target to $8.05 following a CEO-led buyout agreement.

B.Riley downgraded Priority Technology Holdings Inc. (NASDAQ:PRTH) to Neutral from Buy and slashed its price target to $8.05 from $11.00 following the company's agreement to be acquired by an investor group led by its own chief executive. The adjustment locks the equity valuation directly to the proposed transaction terms.
The downgrade comes in response to Priority Technology's announcement on September 21 that it entered into a definitive agreement to be acquired by an investor group led by chairman and CEO Thomas Priore. Under the terms of the deal, the buying group will acquire all shares it does not already own at a cash price of $8.05 per share.
Valuation Comparison and Prior Offers
The agreed buyout price of $8.05 per share represents a substantial premium over previous valuation markers for the fintech and payment solutions provider. The figure exceeds the initial take-private offer range of $6.00 to $6.15 per share submitted in November 2025.
In addition, the transaction valuation sits above the company's secondary equity offering completed in January 2025, which priced shares at $7.75. Analysts at B.Riley noted that these comparative levels demonstrate upward movement from earlier acquisition overtures while capping near-term upside potential.
Transaction Timeline and Closing Expectations
Following the announcement of the acquisition, B.Riley adjusted its analytical outlook to reflect an expected deal completion rather than organic growth prospects. According to an Investing.com report, the firm anticipates the transaction will close during the first half of 2027 at the agreed $8.05 per share price.
Also, the investment bank does not expect a competing higher offer to emerge for Priority Technology. Because the buyout is led by Chairman and CEO Thomas Priore alongside an aligned investor group, the current terms are viewed as a definitive ceiling for the company's near-term share value as it moves toward a private ownership structure.
